Welcome to Grant Teacher AI, a platform designed to assist researchers in writing biomedical research grants by utilizing artificial intelligence. Please read these Terms & Conditions (“Terms”) carefully before using the Grant Teacher AI website and services (collectively, the “Services”) operated by Next Thought AI, Inc. (“us”, “we”, or “our”). As used herein, “you” or “your” means any entity, university, organization, or company accessing or using the Service as well as any individual end user accessing and using the Service, as applicable and hereby agreeing to these Terms.

By accessing or using our Services, you agree to be bound by these Terms. These Terms are a legally binding contract between you and Next Thought AI, Inc. regarding your use of the Service. If you do not agree with any part of these Terms, you must not use the Services.

By using the Services, you represent and warrant that you have the legal capacity and authority to enter into a binding agreement and to adhere to these Terms. You also represent and warrant that you are at least 18 years old [or have the consent of your parent or guardian to use the Services].

We reserve the right, at our sole discretion, to modify or replace these Terms at any time without notice. It is your responsibility to review these Terms periodically for any changes. Your continued use of the Services after any modifications to these Terms will constitute your acceptance of such changes.

As a user of the Services, you agree to: a. Provide accurate, current, and complete information during the registration process and keep your account information up-to-date; b. Maintain the confidentiality of your account and password; c. Be responsible for all activities that occur under your account; d. Notify us immediately of any unauthorized use of your account or any other breach of security; e. Not use the Services in a manner that is unlawful or prohibited by these Terms and comply with all applicable laws and regulations and will not infringe or impair the rights of any third party, including all applicable third party intellectual property rights; f. Not use the Services for any illegal, unethical, or unauthorized purposes including, but not limited to, (i) using the Services in any manner that could damage, disable, overburden, or impair the Service or interfere with any other user’s use and enjoyment of the Services; (ii) attempting to gain unauthorized access to any of the Services or their related systems, networks, or accounts; and (iii) using the Services to engage in dishonesty (including academic dishonesty), fraud, misrepresentation, or deceit.

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the exclusive property of Next Thought AI, Inc. or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws and treaties. All rights not expressly granted to you in these Terms are reserved and retained by Next Thought AI, Inc. or its licensors.

If you choose to provide input and suggestions regarding problems with or proposed modifications or improvements to the Services (“Feedback”), then you hereby grant us an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to exploit the Feedback in any manner and for any purpose, including to improve the Services and create other products and services.

(a) Your Content. You may provide input to the Services (“Input”), and receive output generated and returned by the Services based on the Input (“Output”). Input and Output are collectively “Content.” Subject to your compliance with these Terms, Next Thought AI, Inc. grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial purposes.

You will submit certain content to us during your use of the Services and we will necessarily need to process and use this content. We need your permission if your intellectual property rights restrict our use of your content. Therefore, you grant Next Thought AI, Inc. a non-exclusive, royalty-free, worldwide license to your Content so that we may host, reproduce, distribute, communicate, use, copy, modify, display, perform, and create derivative works from any content that you create, upload, or submit to the Services for the limited purposes of providing, improving, and promoting the Services and developing new technologies and services. This license lasts for as long as your content is protected by intellectual property rights. You retain any intellectual property rights that you have in your content.

(b) Similarity of Content. Due to the nature of machine learning, Output may not be unique across users and the Services may generate the same or similar output for OpenAI or a third party. For example, you may provide input to a model such as “What color is the sky?” and receive output such as “The sky is blue.” Other users may also ask similar questions and receive the same response. Responses that are requested by and generated for other users are not considered your Content.

(c) Use of Content to Improve Services. We may use your Content to help develop and improve our Services. The scientific ideas in your Content will not be used to train a machine learning model to improve our services.

(d) Accuracy. Artificial intelligence and machine learning are rapidly evolving fields of study. We are constantly working to improve our Services to make them more accurate, reliable, safe and beneficial. Given the probabilistic nature of machine learning, use of our Services may in some situations result in incorrect Output that does not accurately reflect real people, places, or facts. You should evaluate the accuracy of any Output as appropriate for your use case, including by using human review of the Output.

You agree not to: a. Copy, modify, or create derivative works based on the Services; b. Rent, lease, loan, sell, distribute, or sublicense the Services; c. Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Services, except as permitted by applicable law; d. Remove, alter, or obscure any copyright, trademark, or other proprietary notices on the Services; and e. use the Services to develop artificial intelligence or machine learning models or related technology.

To the fullest extent permitted by applicable law, in no event will Next Thought AI, LLC, its affiliates, officers, directors, employees, agents, or licensors be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Services, whether in an action of contract, tort, or otherwise, even if advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless Next Thought AI, LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or in connection with your use of the Services, your breach of these Terms, or your violation of any applicable law, regulation, or the rights of any third party.

We reserve the right, at our sole discretion, to terminate or suspend your access to the Services, without notice and liability, for any reason, including but not limited to your breach of these Terms. Upon termination, all provisions of these Terms that, by their nature, should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We reserve the right to take legal action against any user who breaches these terms of service or our policies. We may also suspend or terminate your account or access to the Services at any time without notice or liability if we believe that you have violated these terms of service or our policies.

These terms of service and our relationship with you are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. You agree to submit to the personal and exclusive jurisdiction of the courts located in New Castle County, Delaware for any legal action arising out of or relating to these Terms.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

i. You use our Services solely at your own risk. They are provided to you “as is” and “as available” and without warranty of any kind, express or implied.
ii. Our Products and Services are still being developed. You understand and acknowledge the possibility that our Products and Services may never reach completion.
iii. Next Thought AI, Inc SPECIFICALLY DISCLAIMS ANY AND ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. NO ADVICE OR INFORMATION (ORAL OR WRITTEN) OBTAINED BY YOU FROM GRANT TEACHER AI OR NEXT THOUGHT AI, INC SHALL CREATE ANY WARRANTY.
iv. To the fullest extent permitted by law, in no event will Next Thought AI, LLC, its directors, employees, partners, suppliers, or content providers be liable for any indirect, incidental, punitive, consequential, special, or exemplary damages of any kind, including but not limited to damages
(i) resulting from your access to, use of, or inability to access or use the Services;
(ii) for any lost profits, data loss, or cost of procurement or substitute goods or services; or
(iii) for any conduct of content of any third party on the Site.

These Terms constitute the entire agreement between you and Next Thought AI, Inc. with respect to the Services and supersede all prior or contemporaneous understandings, communications, or agreements, whether written or oral, regarding the subject matter hereof.
